These Terms and Conditions ("Terms") govern access to and use of scalattice.com, Scalattice Cloud, the Scalattice inference API, provider tooling, and related services (together, the "Services") operated by Robottik Ltd ("we", "us", "our"), registered in England and Wales (company no. 17193565).
By creating an account, calling our API, registering a provider node, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Scalattice provides a distributed inference network and related dashboards. Developers may consume models through an OpenAI-compatible API. Providers may connect GPU capacity to the network subject to separate onboarding requirements shown in Scalattice Cloud.
We operate the platform and routing layer only. We do not own, lease, or operate provider hardware. Inference capacity is supplied by independent third-party providers who choose when to connect their own machines to the network.
2. Accounts and access
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account, including API keys and provider agent tokens. Notify us promptly at support@scalattice.com if you suspect unauthorised access.
3. Acceptable use
You must not use the Services to violate law, infringe rights, distribute malware, attempt unauthorised access, interfere with network stability, scrape or overload systems without permission, or process content you lack rights to use. We may suspend or terminate access for violations.
4. API usage and availability
Inference is provided on a commercially reasonable basis. Routes, models, regions, and capacity may change. Rate limits, quotas, and technical requirements may apply. Status information is published on Scalattice Cloud where available.
5. Fees, credits, and billing
Published pricing applies to metered inference unless otherwise agreed in writing. Purchases and billing for Scalattice Cloud are processed through our payment providers. Taxes may apply. Except where required by law, fees are non-refundable once consumed or after a billing period has started.
6. Provider participation
Providers must run approved agent software (scalattice-agent, published on GitHub), maintain secure systems, and comply with payout and identity requirements shown in Scalattice Cloud. We may remove nodes that harm network quality, security, or compliance.
Independent providers and hardware. Each provider is solely responsible for the machines, GPUs, operating systems, drivers, and other software they connect to the network. By registering a provider node, you represent and warrant that you have all rights, licences, and permissions needed to operate that hardware and software for commercial inference work, including any manufacturer or software licence terms that apply (for example, GPU driver end-user licence agreements, CUDA or ROCm terms, and open-source model licences).
Consumer and third-party GPU licences. References on our websites or dashboards to supported hardware (including consumer or datacenter GPUs) describe technical compatibility only. They are not a statement that any particular card, driver, or deployment model is permitted by its manufacturer or licensor for paid network participation. Some GPU vendors restrict certain uses of consumer hardware or driver software in shared, hosted, or datacenter contexts. It is the provider's responsibility to review and comply with those terms before earning on the network.
No hardware warranty. We do not audit provider hardware for licensing compliance and make no representation that any provider machine is appropriately licensed for your use case. Developers use routed capacity at their own risk. If you require datacenter-certified or enterprise-grade hardware assurances, you must obtain them directly from providers or through a separate written agreement with us.
7. Intellectual property
We and our licensors retain all rights in the Services, software, branding, and site content. You retain rights in your content and prompts, and grant us the limited rights needed to operate the Services, route requests, meter usage, and provide support.
8. Privacy
Our use of personal data is described in the Privacy Policy. By using the Services you acknowledge that policy.
9. Disclaimers
The Services are provided "as is" and "as available". We do not guarantee uninterrupted operation, error-free output from models, or fitness for a particular purpose. Model output may be inaccurate or incomplete and should be reviewed before reliance.
We are not responsible for the acts or omissions of independent providers, the suitability of provider hardware, or compliance by providers with third-party licences. Nothing in these Terms creates a partnership, agency, employment, or joint-venture relationship between us and any provider.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity. Our total liability arising from the Services is limited to the greater of £100 or the amount you paid us for the Services in the three months before the claim.
11. Indemnity
You will defend and indemnify us against claims arising from your use of the Services, your content, or your breach of these Terms, except to the extent caused by our negligence or wilful misconduct. Providers additionally indemnify us against claims arising from hardware, drivers, software, or model weights they operate on the network, including claims by GPU or software licensors alleging unauthorised commercial or datacenter use.
12. Suspension and termination
We may suspend or terminate access immediately for risk, abuse, non-payment, or legal compliance. You may stop using the Services at any time. Sections that by nature should survive termination will survive.
13. Changes
We may update these Terms from time to time. Material changes will be posted on this page with a revised date. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales. Courts in England and Wales have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
